These Terms of Use (the "Terms") are an agreement between you and Differential Dev Shop, LLC ("Licensor," “Differential,” “we," or "us"). These Terms govern your use of the Apollos-branded digital community management and interaction Service, including our donation platform (“Platform”) and any related software applications, mobile applications, websites, content, features, and services (collectively referred to as the "Service"), whether you access it as a guest or a registered user.
By accessing or using the Service, by clicking “accept” or agreeing to the Terms when prompted, you confirm that you accept and agree to comply with these Terms and our Privacy Policy, available at apollos.com/privacy, which is incorporated by reference. If you do not agree, you must not use the Service.
1. Terms of Use Overview
1.1 Agreement to Terms
These Terms constitute a binding agreement between you and the Licensor. They apply to your use of the Service for purposes such as community engagement, event management, and donations, as provided by the Customer (the church or organization licensing the Service, “Customer”).
1.2 Access via Customer
Your access to the Service may be provided through an enterprise subscription agreement between the Licensor and a Customer (e.g., a church, club, or organization). Your use may also be subject to additional terms, conditions, or expectations set by the Customer, which supplement these Terms.
1.3 Eligibility
The Service is available only to users who are 18 years or older, reside in the United States or its territories, and are of legal age to enter into a binding contract. By using the Service, you confirm that you meet these requirements. If you do not, you must not use the Service.
2. Access and Account Security
2.1 Service Availability
We reserve the right to modify, suspend, or discontinue the Service or any services or materials at our sole discretion without notice. We are not liable for any unavailability of the Service, in whole or in part, at any time. We may restrict access to certain sections or the entire Service, including for registered users.
2.2 User Responsibility
You are responsible for:
Ensuring you have the necessary arrangements to access the Service.
Ensuring that anyone accessing the Service through your internet connection complies with these Terms.
2.3 Registration and Accuracy
To access certain features, you may need to provide registration details or other information. You agree to provide accurate, up-to-date, and complete information. All information you provide, including through interactive features, is governed by our Privacy Policy, and you consent to its collection and use as described therein.
2.4 Security
If assigned or choosing a username, password, or other security information, you must keep it confidential and not share it. Your account is for personal use only. You must notify us immediately at [email protected] of any unauthorized use or security breach. Log out after each session on public or shared computers. We may deactivate any username, password, or identifier at our discretion, including for violations of these Terms or at Customer’s request.
3. Intellectual Property and Acceptable Use
3.1 Ownership and Reservation of Rights
The Service, including all content, features, and functionality (e.g., information, software, text, displays, images, video, audio, and their design and arrangement), is owned by the Licensor, its affiliates, licensors, licensees, Customers, or other content providers. It is protected by U.S. and international intellectual property laws, including copyright, trademark, patent, and trade secret laws. No right, title, or interest in the Service or its content is transferred to you, and all rights not expressly granted are reserved.
3.2 Trademark Notice
The name, logo, related terms, product and service names, designs, and slogans of the Service are trademarks of the Licensor, Customer, or their respective affiliates, licensors, or licensees. You may not use these marks without prior written permission from the respective owner. All other names, logos, product and service names, designs, and slogans on the Service are trademarks of their respective owners.
3.3 Permitted Use
As the end user (“End User”), you may use the Service solely for individual purposes and in accordance with these Terms. You must not:
Reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any Service material except as authorized.
Use content separately from accompanying text or alter/remove copyright or proprietary rights notices.
Use the Service or its content for commercial purposes.
3.4 Acceptable Use
You agree to use the Service only for lawful purposes, consistent with all applicable laws, regulations, and the Licensor’s Acceptable Use Policy, attached as “Exhibit A” to this Agreement. You must not:
Use the Service in violation of any applicable law or regulation.
Exploit or harm minors in any way, including exposing them to inappropriate content or requesting personal information.
Upload or transmit unlawful, infringing, defamatory, or objectionable material.
Transmit unsolicited advertising or promotional materials, such as “junk mail,” “chain letters,” or “spam.”
Impersonate the Licensor, Customer, their employees, another user, or any other person or entity.
Engage in conduct that restricts or inhibits another user’s use or enjoyment of the Service or exposes the Licensor, Customer, or users to harm or liability.
3.5 Prohibited Activities
You may not use the Service or Platform in connection with any activity or transaction that is prohibited by us or by our third-party providers, including but not limited to Stripe, Inc. (“Stripe”). You agree to comply with Stripe’s Acceptable Use Policy and Restricted Business List, available at:
Examples of prohibited activities include, but are not limited to:
Infringing on intellectual property rights;
Engaging in deceptive, unfair, or predatory practices;
Offering illegal or regulated products or services without appropriate authorization;
Promoting adult content, gambling, or unlicensed financial services;
Operating pyramid schemes or high-risk investment services;
Promoting or selling products or services that encourage hate, violence, or discrimination.
3.6 Technical Restrictions
You agree not to:
Use the Service or Platform in a way that could disable, overburden, damage, or impair it, or interfere with another user’s real-time activities.
Use robots, spiders, or other automatic devices to access the Service for unauthorized purposes, such as monitoring or copying material.
Use manual processes to monitor or copy material without prior written consent.
Use any device, software, or routine that interferes with the Service or Platform’s proper functioning.
Introduce viruses, Trojan horses, worms, logic bombs, or other malicious or harmful material.
Attempt unauthorized access to, interference with, or disruption of the Service or Platform, or their servers, or connected systems.
Attack the Service via denial-of-service or distributed denial-of-service attacks.
3.7 Fund Use and Misuse Reporting
All funds received through the Service and Platform must be used solely as described in the related fundraising materials. Customers are solely responsible for the truthful representation of their fundraising purposes and for complying with all applicable laws and regulations.
We do not independently verify, monitor, or guarantee how funds are used once disbursed through the Service or Platform. By making a donation, you acknowledge and agree that you are doing so based on your own judgment and trust in the Customer. We are not liable for any misuse, misrepresentation, or misallocation of funds by any user or organization using the Service or Platform.
We reserve the right to suspend or terminate access to the Service and/or Platform in cases of suspected or actual misuse of funds. A reporting mechanism may be provided to users who wish to report potential violations or concerns regarding the misuse of the Service or Platform.
3.8 Third-Party Policies
You agree to comply with all applicable third-party terms, including Stripe’s Acceptable Use Policy (https://support.stripe.com/questions/acceptable-use-policy). Violation of such policies may result in immediate suspension or termination of your access to the Service.
For clarity, any financial data (including payment card details, bank account information, or transaction records) submitted through the Platform is processed and stored by our third-party payment processor, Stripe, and not by us. Such data is subject to Stripe’s privacy policy and terms of service.
3.9 Anti-Money Laundering Policy
We are committed to maintaining the integrity of our Service and Platform by complying with all applicable anti-money laundering (AML) laws and regulations. By using the Service or Platform, you agree to the following:
You agree not to use the Service or Platform in any way that violates applicable AML laws or facilitates money laundering, terrorist financing, or other illegal financial activities. We take these obligations seriously and comply with all regulatory requirements to prevent abuse of our systems.
As part of our onboarding process, you may be required to provide personal, organizational, or financial information. You agree that all information you provide is complete, accurate, and up to date. You also agree to notify us promptly if any of this information changes.
To meet our compliance obligations, we may conduct identity verification checks on you and any associated parties.
We may use trusted third-party services, including Stripe’s Restricted Business List (RBL) and other industry-standard tools, to evaluate risk and screen for compliance. We reserve the right to reject, suspend, or terminate access to the Service or Platform if your use is deemed high-risk or non-compliant.
If we detect activity that appears suspicious or potentially related to illegal financial behavior, we may report it to the appropriate regulatory authorities. We are not obligated to notify you if such reporting occurs.
You agree to cooperate fully with us, our vendors, and any applicable authorities in investigations involving suspected money laundering or illegal activity. We may suspend or terminate your access to the Service or Platform if necessary to comply with legal or regulatory requirements.
3.10 Sanctions Policy
We are also committed to complying with applicable sanctions laws to prevent the use of our Service or Platform in connection with restricted individuals, entities, or regions. By using the Service or Platform, you agree to the following:
You agree not to use the Service or Platform to conduct transactions with individuals, entities, or countries subject to sanctions imposed by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC), the European Union (EU), the United Nations (UN), the United Kingdom’s Office of Financial Sanctions Implementation (OFSI), or other relevant bodies.
We use Stripe’s sanctions screening tools, as well as other internal and third-party resources, to help ensure compliance. If your activities involve sanctioned individuals or entities, your access to the Service or Platform may be suspended or terminated.
You may not use the Service or Platform for any activity that violates sanctions laws, including conducting or facilitating transactions involving sanctioned parties or regions. We reserve the right to block or reverse such transactions, and to take additional compliance actions as needed.
You agree to cooperate fully with us, our partners, and any regulatory authorities in connection with sanctions compliance. If we believe you are engaging in or attempting to engage in prohibited activities, we may report this to the relevant authorities and take appropriate action.
We actively monitor activity on the Service and Platform to identify potential sanctions risks.
3.10 Termination for Violation
We reserve the right to suspend or permanently terminate your access to the Service or Platform if we determine that your activity violates sanctions laws or this policy. We may also freeze funds or block transactions in accordance with applicable law.
4. User Contributions
The Service may include interactive features such as message boards, chat rooms, profiles, forums, or other tools (collectively, “Interactive Services”) that allow users to create, post, submit, publish, display, store, or transmit content or materials intended for sharing (“User Contributions”).
All User Contributions must comply with the Content Standards in these Terms and any additional standards provided by the Customer. User Contributions are considered non-confidential and non-proprietary. By creating User Contributions, you grant the Licensor, its affiliates, service providers, and their respective licensees, successors, and assigns a worldwide, royalty-free license to use, reproduce, modify, perform, display, distribute, and disclose such material for any purpose, subject to your account settings.
You represent and warrant that:
You own or control all rights to your User Contributions and have the authority to grant the above license.
Your User Contributions comply with these Terms.
You are solely responsible for your User Contributions, including their legality, reliability, accuracy, and appropriateness. The Licensor is not responsible or liable for the content or accuracy of User Contributions.
5. Content Standards
User Contributions must comply with all applicable federal, state, local, and international laws and regulations and must not:
Contain defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable material.
Promote sexually explicit or pornographic material, violence, or discrimination.
Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights.
Violate the legal rights of others, including publicity or privacy rights, or create civil or criminal liability.
Be likely to deceive any person.
Promote illegal activity or advocate, promote, or assist unlawful acts.
Cause annoyance, inconvenience, or anxiety, or be likely to upset, embarrass, or alarm others.
Impersonate any person or misrepresent your identity or affiliation.
Involve commercial activities, such as contests, sweepstakes, or advertising, unless authorized.
Give the impression that they emanate from or are endorsed by the Licensor, Customer, or another entity, if untrue.
6. Monitoring and Enforcement; Termination
The Licensor reserves the right to:
Remove or refuse to post User Contributions at its sole discretion.
Take action against User Contributions that violate these Terms, infringe rights, threaten safety, or create liability.
Disclose your identity or information to third parties claiming violations of their rights.
Pursue legal action, including referral to law enforcement, for illegal or unauthorized use.
Terminate or suspend your access to the Service for any reason, including violations of these Terms or at Customer’s request.
The Licensor may cooperate with law enforcement or court orders requesting disclosure of user information. You waive and hold harmless the Licensor and its affiliates from claims resulting from such actions. The Licensor cannot review all material before posting and assumes no liability for user or third-party content.
7. Reliance on Information
Information on the Service is provided for general purposes only. The Licensor does not warrant its accuracy, completeness, or usefulness. Reliance on such information is at your own risk. Content provided by third parties, including the Customer or users, is their responsibility and does not necessarily reflect the Licensor’s opinions. The Licensor is not liable for third-party content.
8. Customer Features
The Customer may provide access to features or services through the Service, such as links, integrations, or payment systems (“Customer Features”). These are subject to the Customer’s terms and conditions, not the Licensor’s. The Licensor provides Customer Features “AS IS” without warranties and is not liable for damages resulting from their use. The Customer is solely responsible for its collection and use of your data through the Service.
9. Links and Social Media Features
You may link to the Service’s homepage or designated areas, provided it is fair, legal, and does not damage the Licensor’s reputation or suggest unauthorized endorsement. The Service may include social media features allowing you to link or share content. You must not:
Link from websites you do not own.
Frame, deep link, or inline link to the Service without permission.
Take actions inconsistent with these Terms.
The Licensor may disable linking or social media features at its discretion. Third-party links are provided for convenience, and the Licensor is not responsible for their content or any resulting loss or damage.
10. Privacy
Information collected by the Licensor is subject to our Privacy Policy. Information provided to the Customer is subject to the Customer’s privacy practices. By using the Service, you consent to the Licensor’s actions regarding your information per the Privacy Policy.
11. Geographic Restrictions
The Service is intended for use in the United States. Access from outside the U.S. is at your own risk and subject to local laws.
12. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, non-infringement, or fitness for a particular purpose. The Licensor does not guarantee the Service’s accuracy, reliability, or availability, or that it is free of viruses or harmful components. You are responsible for implementing adequate protections.
13. Limitation of Liability
To the fullest extent permitted by law, the Licensor and its affiliates will not be liable for any damages arising from your use or inability to use the Service, including direct, indirect, special, incidental, consequential, or punitive damages. The Licensor’s total liability will not exceed the amount you paid to the Licensor for the applicable service in the last 12 months.
14. Indemnification
You agree to defend, indemnify, and hold harmless the Licensor, its affiliates, and their respective officers, directors, employees, and agents from claims, liabilities, or costs (including attorneys’ fees) arising from your violation of these Terms, your User Contributions, or your use of the Service beyond what is authorized.
15. Governing Law and Jurisdiction
These Terms and your use of the Service are governed by the laws of the State of Delaware, without regard to conflict of law principles. The Licensor may pursue actions against you in your country of residence. You waive objections to jurisdiction or venue in such courts.
16. Limitation on Time to File Claims
Any claim arising from these Terms or the Service must be filed within one (1) year after the cause of action accrues, or it is permanently barred.
17. Waiver and Severability
No waiver by the Licensor of any term in these Terms constitutes a continuing waiver or a waiver of other terms. If any provision is found invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect.
18. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and the Licensor regarding the Service, superseding all prior agreements.
